B2B Sales Terms and Conditions \u2013 PAPPAMI\u00ae<\/strong><\/h2>\n\n

1. Introduction and scope of application<\/strong><\/h4>\n\n

This document establishes the terms and conditions for using the website www.pappami.com<\/strong> and governs sales made by Trentuno Properties S.r.l.<\/strong>, with registered office at Via alla Pineta 8 \u2013 38068 Rovereto (TN) \u2013 Italy, Tax Code and VAT No. 01943770220, REA TN-189378 (hereinafter “Seller”), to professional operators and VAT holders<\/strong> (hereinafter “Client” or “Buyer”).<\/p>\n\n

These conditions apply exclusively to B2B (business-to-business)<\/strong> relationships and do not apply to consumers<\/strong> as defined by Legislative Decree 206\/2005 (Consumer Code). <\/p>\n\n

Access to and use of the site imply full acceptance of these conditions.<\/p>\n\n

\n\n

2. Object of the contract<\/strong><\/h4>\n\n

The contract concerns the sale of the product PAPPAMI\u00ae \u2013 “the plate made of bread that you eat”<\/strong>, an edible dry bakery product, compliant with current food regulations (Reg. EC 178\/2002, Reg. EC 852\/2004, Reg. EU 1169\/2011 and subsequent amendments).<\/p>\n\n

All technical and nutritional information about the product is available on the website and in the descriptive sheets.<\/p>\n\n

The product is intended for professional use in the Ho.Re.Ca.<\/strong> sector, catering, and food service.<\/p>\n\n

\n\n

3. Use of the site<\/strong><\/h4>\n\n

The Client agrees to use the site exclusively for professional purposes, in compliance with the law, good customs, and these conditions.<\/p>\n\n

It is forbidden to:<\/p>\n\n

    \n
  • use the site in a way that compromises its security or operation;<\/li>\n\n\n\n
  • copy, modify or reuse texts, images or content without written authorization from the Seller;<\/li>\n\n\n\n
  • register with false data or unauthorized third-party data.<\/li>\n<\/ul>\n\n
    \n\n

    4. Registration and customer account<\/strong><\/h4>\n\n

    Access to purchasing functions is reserved for subjects with a VAT number<\/strong>.<\/p>\n\n

    During registration, the Client must provide truthful and up-to-date data.<\/p>\n\n

    The Seller reserves the right to verify the validity of the VAT number in the VIES<\/strong> system and to refuse orders from subjects not qualifying as economic operators.<\/p>\n\n

    The user is responsible for safeguarding their access credentials and for the use of their account.<\/p>\n\n

    \n\n

    5. Prices and invoicing<\/strong><\/h4>\n\n

    All prices are expressed in Euro (\u20ac)<\/strong> and are net of VAT<\/strong>, unless otherwise indicated.<\/p>\n\n

    As it is a food product, the applicable VAT rate is 4%<\/strong>.<\/p>\n\n

    For supplies to clients with an Italian<\/strong> VAT number, a regular electronic invoice is issued through the Interchange System (SDI).<\/p>\n\n

    For clients with a VAT number registered in VIES (European Union)<\/strong>, the sale is VAT exempt pursuant to art. 41 D.L. 331\/1993, subject to verification of the validity of the VAT number and proof of transport outside Italy. <\/p>\n\n

    Any shipping or packaging costs are specified during the order process.<\/p>\n\n

    \n\n

    6. Orders and conclusion of the contract<\/strong><\/h4>\n\n

    Orders are considered valid only after written confirmation<\/strong> by the Seller, including via automatic email.<\/p>\n\n

    The Seller reserves the right not to accept orders that do not meet minimum quantitative, logistical or fiscal requirements, or that come from countries not served.<\/p>\n\n

    Any subsequent modifications to the order must be approved in writing.<\/p>\n\n

    \n\n

    7. Payment methods<\/strong><\/h4>\n\n

    Payments can be made by:<\/p>\n\n

      \n
    • advance bank transfer<\/strong>;<\/li>\n\n\n\n
    • corporate credit cards<\/strong> through a secure circuit.<\/li>\n<\/ul>\n\n

      Non-payment or default will result in the suspension of supplies and the possibility for the Seller to apply default interest pursuant to Legislative Decree. 231\/2002.<\/p>\n\n

      Ownership of the goods remains with the Seller until full payment of the price.<\/p>\n\n

      \n\n

      8. Shipping, delivery, and on-site collection<\/strong><\/h4>\n\n

      Delivery normally takes place via shipping in Italy and European Union countries<\/strong>, with varying times depending on the destination.<\/p>\n\n

      It is also possible to collect directly from the Rovereto (TN) facility<\/strong> by prior arrangement.<\/p>\n\n

      Unless otherwise agreed in writing, the goods travel at the risk and on behalf of the Client<\/strong> from the moment of delivery to the carrier.<\/p>\n\n

      The Client must verify the integrity of the package upon delivery and report any damage or tampering within 3 days.<\/p>\n\n

      \n\n

      9. Warranty and liability<\/strong><\/h4>\n\n

      The PAPPAMI\u00ae product is guaranteed to conform to the specifications indicated on the website and packaging.<\/p>\n\n

      Any evident defects must be reported in writing within 8 days of receipt<\/strong>.<\/p>\n\n

      The warranty does not cover defects due to improper use, incorrect storage, or alterations after delivery.<\/p>\n\n

      The Seller is not responsible for indirect damages, loss of profit, or business interruptions arising from the use of the product, except in cases of willful misconduct or gross negligence.<\/p>\n\n

      \n\n

      10. Right of withdrawal<\/strong><\/h4>\n\n

      The right of withdrawal provided for by the Consumer Code does not apply<\/strong> to B2B contracts.<\/p>\n\n

      Therefore, confirmed orders are binding and non-cancellable<\/strong>, unless otherwise agreed in writing between the parties.<\/p>\n\n

      \n\n

      11. Intellectual property<\/strong><\/h4>\n\n

      The PAPPAMI\u00ae<\/strong> trademark, product design, packaging, graphic and textual contents of the site are the exclusive property of Trentuno Properties S.r.l.<\/strong> and are protected by patents and copyrights.<\/p>\n\n

      Any unauthorized reproduction, distribution, or use of the materials is prohibited, except with the written consent of the owner.<\/p>\n\n

      \n\n

      12. Processing of personal data (GDPR)<\/strong><\/h4>\n\n

      The Data Controller is Trentuno Properties S.r.l.<\/strong><\/p>\n\n

      The data provided by the Client is processed in compliance with Regulation (EU) 2016\/679 (GDPR)<\/strong> and used exclusively to:<\/p>\n\n

        \n
      • manage orders, deliveries, and invoicing;<\/li>\n\n\n\n
      • fulfill tax and accounting obligations;<\/li>\n\n\n\n
      • communicate with the Client for contractual purposes.<\/li>\n<\/ul>\n\n

        The legal basis for processing is the execution of the contract (art. 6, letters b) and c) GDPR). <\/p>\n\n

        The data may be communicated to logistics partners or tax consultants only for purposes related to the supply.<\/p>\n\n

        The Client can exercise their rights of access, rectification, cancellation, or opposition by writing to privacy@pappami.com<\/strong>.<\/p>\n\n

        The complete privacy policy is available on the website in the “Privacy Policy”<\/strong> section.<\/p>\n\n

        \n\n

        13. Applicable law and jurisdiction<\/strong><\/h4>\n\n

        The contract is governed by Italian law<\/strong>.<\/p>\n\n

        For any dispute relating to the interpretation or execution of the contract, the Court of Rovereto (TN)<\/strong> will have exclusive jurisdiction.<\/p>\n\n

        For relationships with EU clients, Italian law applies pursuant to Regulation (EC) No. 593\/2008 (Rome I)<\/strong>.<\/p>\n\n

        \n\n

        14. Clause on the prevalence of the Italian version<\/strong><\/h4>\n\n

        In case of discrepancies or divergences between the Italian and English versions of these Terms and Conditions, the Italian version prevails<\/strong>.<\/p>\n\n

        \n\n

        15. Modifications and validity<\/strong><\/h4>\n\n

        The Seller reserves the right to update these Terms and Conditions at any time.<\/p>\n\n

        The changes will be effective from the date of publication on the website.<\/p>\n\n

        Continued use of the site or sending a subsequent order implies acceptance of the new conditions.<\/p>\n\n
