B2B Sales Terms and Conditions – PAPPAMI®

1. Introduction and scope of application

This document establishes the terms and conditions for using the website www.pappami.com and governs sales made by Trentuno Properties S.r.l., with registered office at Via alla Pineta 8 – 38068 Rovereto (TN) – Italy, Tax Code and VAT No. 01943770220, REA TN-189378 (hereinafter “Seller”), to professional operators and VAT holders (hereinafter “Client” or “Buyer”).

These conditions apply exclusively to B2B (business-to-business) relationships and do not apply to consumers as defined by Legislative Decree 206/2005 (Consumer Code).

Access to and use of the site imply full acceptance of these conditions.


2. Object of the contract

The contract concerns the sale of the product PAPPAMI® – “the plate made of bread that you eat”, an edible dry bakery product, compliant with current food regulations (Reg. EC 178/2002, Reg. EC 852/2004, Reg. EU 1169/2011 and subsequent amendments).

All technical and nutritional information about the product is available on the website and in the descriptive sheets.

The product is intended for professional use in the Ho.Re.Ca. sector, catering, and food service.


3. Use of the site

The Client agrees to use the site exclusively for professional purposes, in compliance with the law, good customs, and these conditions.

It is forbidden to:

  • use the site in a way that compromises its security or operation;
  • copy, modify or reuse texts, images or content without written authorization from the Seller;
  • register with false data or unauthorized third-party data.

4. Registration and customer account

Access to purchasing functions is reserved for subjects with a VAT number.

During registration, the Client must provide truthful and up-to-date data.

The Seller reserves the right to verify the validity of the VAT number in the VIES system and to refuse orders from subjects not qualifying as economic operators.

The user is responsible for safeguarding their access credentials and for the use of their account.


5. Prices and invoicing

All prices are expressed in Euro (€) and are net of VAT, unless otherwise indicated.

As it is a food product, the applicable VAT rate is 4%.

For supplies to clients with an Italian VAT number, a regular electronic invoice is issued through the Interchange System (SDI).

For clients with a VAT number registered in VIES (European Union), the sale is VAT exempt pursuant to art. 41 D.L. 331/1993, subject to verification of the validity of the VAT number and proof of transport outside Italy.

Any shipping or packaging costs are specified during the order process.


6. Orders and conclusion of the contract

Orders are considered valid only after written confirmation by the Seller, including via automatic email.

The Seller reserves the right not to accept orders that do not meet minimum quantitative, logistical or fiscal requirements, or that come from countries not served.

Any subsequent modifications to the order must be approved in writing.


7. Payment methods

Payments can be made by:

  • advance bank transfer;
  • corporate credit cards through a secure circuit.

Non-payment or default will result in the suspension of supplies and the possibility for the Seller to apply default interest pursuant to Legislative Decree. 231/2002.

Ownership of the goods remains with the Seller until full payment of the price.


8. Shipping, delivery, and on-site collection

Delivery normally takes place via shipping in Italy and European Union countries, with varying times depending on the destination.

It is also possible to collect directly from the Rovereto (TN) facility by prior arrangement.

Unless otherwise agreed in writing, the goods travel at the risk and on behalf of the Client from the moment of delivery to the carrier.

The Client must verify the integrity of the package upon delivery and report any damage or tampering within 3 days.


9. Warranty and liability

The PAPPAMI® product is guaranteed to conform to the specifications indicated on the website and packaging.

Any evident defects must be reported in writing within 8 days of receipt.

The warranty does not cover defects due to improper use, incorrect storage, or alterations after delivery.

The Seller is not responsible for indirect damages, loss of profit, or business interruptions arising from the use of the product, except in cases of willful misconduct or gross negligence.


10. Right of withdrawal

The right of withdrawal provided for by the Consumer Code does not apply to B2B contracts.

Therefore, confirmed orders are binding and non-cancellable, unless otherwise agreed in writing between the parties.


11. Intellectual property

The PAPPAMI® trademark, product design, packaging, graphic and textual contents of the site are the exclusive property of Trentuno Properties S.r.l. and are protected by patents and copyrights.

Any unauthorized reproduction, distribution, or use of the materials is prohibited, except with the written consent of the owner.


12. Processing of personal data (GDPR)

The Data Controller is Trentuno Properties S.r.l.

The data provided by the Client is processed in compliance with Regulation (EU) 2016/679 (GDPR) and used exclusively to:

  • manage orders, deliveries, and invoicing;
  • fulfill tax and accounting obligations;
  • communicate with the Client for contractual purposes.

The legal basis for processing is the execution of the contract (art. 6, letters b) and c) GDPR).

The data may be communicated to logistics partners or tax consultants only for purposes related to the supply.

The Client can exercise their rights of access, rectification, cancellation, or opposition by writing to privacy@pappami.com.

13. Applicable law and jurisdiction

The contract is governed by Italian law.

For any dispute relating to the interpretation or execution of the contract, the Court of Rovereto (TN) will have exclusive jurisdiction.

For relationships with EU clients, Italian law applies pursuant to Regulation (EC) No. 593/2008 (Rome I).


14. Clause on the prevalence of the Italian version

In case of discrepancies or divergences between the Italian and English versions of these Terms and Conditions, the Italian version prevails.


15. Modifications and validity

The Seller reserves the right to update these Terms and Conditions at any time.

The changes will be effective from the date of publication on the website.

Continued use of the site or sending a subsequent order implies acceptance of the new conditions.
